Terms of Service

1. PARTIES AND AGREEMENT

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Anything Digital Hub ("Company", "we", "us", or "our"), the operator of StudyPlace.my, accessible at https://studyplace.my ("Platform").

These Terms apply to all visitors, registered users, parents, guardians, and any other persons who access or use the Platform. Where a parent or guardian registers on behalf of a minor, both the parent/guardian and the minor are jointly bound by these Terms, and the parent/guardian assumes full legal responsibility for the minor's use.

2. ELIGIBILITY AND ACCOUNT REGISTRATION

2.1 Age Requirements

You must be at least 13 years of age to create an account. Users under 18 must have explicit parental or guardian consent. Parents and guardians may register child accounts ("Student Profiles") under their parent account and are fully responsible for their child's use of the Platform.

2.2 Account Accuracy

You agree to provide accurate, current, and complete information during registration and to keep this information updated. You are solely responsible for safeguarding your account credentials. You must notify us immediately at contact@studyplace.my if you suspect any unauthorised use of your account.

2.3 Account Suspension

We reserve the right to suspend or terminate your account at any time, with or without notice, if we determine, in our sole discretion, that you have violated these Terms or any applicable law.

3. DESCRIPTION OF SERVICES

StudyPlace.my is a digital educational platform that provides access to exam preparation question banks, practice modules, mock examinations, and related learning tools for Malaysian curriculum examinations, including but not limited to UPKK, SPM, PBD, and other assessments ("Services").

Access to certain Services requires the purchase of a subscription plan, content bundle, or access pass. Free features, preview questions, and trial access may also be made available at our sole discretion and are subject to these Terms.

We support native Jawi script and Bahasa Malaysia content. We make no warranty that all content accurately reflects the current official curriculum at all times, and it is the user's responsibility to verify content currency.

3.1 Content Accuracy Disclaimer

Bundle question counts and set counts displayed on the Platform are approximate and subject to change as content is added, updated, or retired. The displayed count represents the quantity available at the time of publication and does not constitute a warranty as to the exact number of items accessible at all times.

4. INTELLECTUAL PROPERTY

4.1 Ownership

All content on the Platform, including but not limited to question banks, answer keys, educational curriculum, Jawi-script materials, text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, and software (collectively "Content"), is the exclusive property of Anything Digital Hub or its licensed content providers and is protected under the laws of Malaysia, including the Copyright Act 1987 (Act 332) and the Trade Marks Act 1976 (Act 175).

4.2 Permitted Use

You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Content solely for your personal, non-commercial educational purposes. This licence does not include the right to:

• Copy, reproduce, republish, or distribute any Content;
• Sell, sublicense, or commercially exploit any Content;
• Create derivative works based on the Content;
• Screen-scrape, data-mine, or systematically extract Content;
• Use automated tools or bots to access the Platform.

4.3 Enforcement

Any unauthorised use of the Content constitutes a material breach of these Terms and may result in immediate termination of your account, civil legal action for damages, and/or criminal prosecution under applicable Malaysian intellectual property laws.

5. PURCHASES, PAYMENTS, AND PRICING

5.1 Payment Processing

All transactions are processed by Billplz and/or other designated third-party payment processors. By making a purchase, you agree to that processor's terms and conditions. We do not store your full payment card details on our servers.

5.2 Currency and Taxes

All prices are displayed and charged in Malaysian Ringgit (MYR) unless otherwise specified. Prices are inclusive of applicable taxes (including SST/GST where applicable) unless explicitly stated otherwise. We reserve the right to change prices at any time without prior notice.

5.3 Access Upon Payment

Upon successful payment, access to the purchased Content or subscription will be provisioned to your account. You acknowledge that digital content is delivered instantly upon payment, and you expressly consent to the immediate performance of the digital service.

5.4 Pricing Errors

We reserve the right to correct any pricing errors or mistakes, even after a purchase has been completed. If a pricing error affects your order, we will notify you and offer you the option to proceed at the correct price or receive a refund.

6. SERVICE AVAILABILITY AND DISCLAIMER OF WARRANTIES

6.1 No Guarantee of Uptime

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. ANYTHING DIGITAL HUB DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS.

6.2 Planned and Unplanned Downtime

The Platform may be temporarily unavailable due to, but not limited to:

• Scheduled maintenance windows (which we will endeavour to announce in advance where practicable);
• Unscheduled emergency maintenance required to protect the security or integrity of the Platform;
• Peak traffic periods or unusually high server load;
• Third-party service provider outages (including hosting, payment, or CDN providers);
• Force majeure events, including natural disasters, pandemics, government action, or telecommunication failures;
• Cyberattacks, Distributed Denial of Service (DDoS) attacks, or other security incidents;
• Any other circumstances beyond our reasonable control.

6.3 No Liability for Unavailability

TO THE FULLEST EXTENT PERMITTED BY MALAYSIAN LAW, ANYTHING DIGITAL HUB SHALL NOT BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY LOSS, DAMAGE, INCONVENIENCE, OR CLAIM ARISING FROM OR RELATED TO THE UNAVAILABILITY, INTERRUPTION, SUSPENSION, OR DISCONTINUATION OF THE PLATFORM OR ANY OF ITS FEATURES, WHETHER DUE TO PEAK HOUR TRAFFIC, MAINTENANCE, TECHNICAL FAILURES, OR OTHERWISE.

If the Platform is unavailable, your subscription period continues to run. We will not automatically extend subscription periods due to downtime unless we, at our sole discretion, deem the outage to be of material duration and solely attributable to our infrastructure failure.

6.4 Disclaimer of Educational Outcomes

We do not guarantee that use of the Platform will result in improved academic performance, exam success, or any particular educational outcome. The effectiveness of study tools depends on individual effort and circumstances beyond our control.

7. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE MALAYSIAN LAW, IN NO EVENT SHALL ANYTHING DIGITAL HUB, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES, BE LIABLE FOR ANY:

• Indirect, incidental, special, consequential, or punitive damages;
• Loss of profits, revenue, data, business opportunities, or goodwill;
• Damages arising from your inability to access or use the Platform;
• Damages arising from any unauthorised access to or alteration of your data;
• Damages arising from any third-party content or conduct;
• Damages arising from exam failure or poor academic performance.

WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO ANYTHING DIGITAL HUB IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM, OR (B) MYR 100.00.

8. PROHIBITED ACTIVITIES

You agree not to engage in any of the following activities:

• Sharing, reselling, or transferring your account credentials or purchased access to any other person;
• Attempting to circumvent any technical protection measures or DRM on the Platform;
• Reverse-engineering, decompiling, or disassembling any part of the Platform's software;
• Using the Platform to distribute spam, malware, or any harmful code;
• Uploading, transmitting, or sharing content that is defamatory, obscene, or infringes any third-party rights;
• Attempting to gain unauthorised access to other user accounts or our backend systems;
• Using the Platform for any commercial purpose without our express written consent;
• Misrepresenting your identity, affiliation, or credentials;
• Engaging in any conduct that we reasonably determine to be harmful to the Platform, its users, or the Company.

9. EDUCATOR, TUTOR, AND INSTITUTIONAL USE

9.1 Individual and Family Use Only

Unless you have entered into a separate written commercial or institutional licence agreement with Anything Digital Hub, all accounts and purchased content on the Platform are licensed for individual personal use or single-family household use only. A "family household" is defined as one parent or guardian and their dependent children residing at the same address.

9.2 Prohibition on Unauthorised Commercial Use

You must not use the Platform or any of its Content for any commercial, instructional, or revenue-generating purpose without our prior written consent. By way of example only, and without limitation, the following are expressly prohibited without a separate commercial licence:

• Displaying, projecting, sharing, or incorporating Platform content (including questions, answers, or explanations) in a tuition centre, classroom, live-stream, webinar, YouTube video, or other public or semi-public instructional setting — whether free or paid;
• Purchasing a single subscription and sharing access credentials among multiple students in a commercial teaching context;
• Reselling or sublicensing access to the Platform or any of its Content to students or third parties for a fee;
• Using the Platform as a core component of a paid course, programme, or tutoring service offered to others.

9.3 Enforcement

We actively monitor for unauthorised commercial use. If we detect or receive credible reports of such use, we reserve the right to immediately suspend or terminate the relevant account(s) without refund and to pursue civil remedies for copyright infringement and breach of contract under the laws of Malaysia.

10. ACCESS CODES AND VOUCHERS

10.1 Access Code Terms

We may issue physical or digital access codes ("Access Codes") which, when redeemed on the Platform, grant access to specified Content for a defined period. Access Codes are subject to the following conditions:

• Access Codes are sold and redeemed for individual use (or for assignment to a child profile, as applicable);
• Each Access Code may only be redeemed once. Redeemed codes cannot be transferred, re-gifted, or re-sold;
• Access Codes may carry an expiry date by which they must be redeemed (not merely used). An unredeemed, expired code has no value and will not be replaced;
• Anything Digital Hub is not responsible for Access Codes that are lost, stolen, or damaged after purchase from an authorised seller;
• We reserve the right to deactivate Access Codes that we reasonably believe were obtained fraudulently or are being used in violation of these Terms.

10.2 Reseller Responsibility

Where Anything Digital Hub sells Access Codes through third-party resellers, schools, or other channels, we are responsible only for the technical validity and activation of the code. Customer support, payment disputes, and refunds for codes purchased through a third-party reseller are the responsibility of that reseller. Purchasers of codes through resellers are bound by these Terms upon redemption.

11. FREE TRIALS AND PROMOTIONAL ACCESS

We may, at our sole discretion, offer free preview questions, trial periods, or promotional access to the Platform or specific Content ("Trial Access"). Trial Access is subject to the following:

• Trial Access may be withdrawn or modified at any time without notice;
• Trial Access is offered once per account. Creating multiple accounts to repeatedly access a trial is a violation of these Terms;
• All restrictions and obligations under these Terms, including intellectual property protections and prohibited activities, apply equally to Trial Access;
• We reserve the right to require a valid payment method to activate Trial Access, even where no immediate charge is made, for fraud prevention purposes;
• At the end of any defined trial period, access will either expire automatically or, where you have provided a payment method and been clearly informed of this, convert to a paid subscription. You will not be charged without prior notice.

12. AFFILIATE PROGRAMME

We may from time to time operate an affiliate programme that rewards users for referring new paying customers to the Platform. If we operate such a programme, the following apply:

• Affiliate rewards (credits, discounts, or other benefits) have no cash value and cannot be exchanged for money;
• Affiliate rewards are only issued upon the referred user completing a qualifying purchase. Referrals that do not result in a qualifying purchase will not be rewarded;
• Self-referrals (creating a second account to refer yourself) are prohibited and will result in forfeiture of all accrued affiliate rewards and potential account suspension;
• We reserve the right to modify or terminate the affiliate programme at any time without notice, and to revoke rewards obtained fraudulently or in violation of these terms;
• Specific affiliate programme rules, reward values, and eligibility criteria will be published on the Platform at the time the programme is active and are incorporated into these Terms by reference.

13. USER-GENERATED CONTENT

If the Platform permits you to submit feedback, comments, or other content ("User Content"), you grant us a non-exclusive, royalty-free, worldwide, irrevocable licence to use, reproduce, modify, publish, and distribute such User Content for any purpose related to the Platform. You represent that you have all necessary rights to grant this licence and that your User Content does not infringe any third-party rights.

14. PRIVACY

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to the collection and use of your data as described in the Privacy Policy. StudyPlace.my is committed to compliance with the Personal Data Protection Act 2010 (PDPA) of Malaysia.

15. THIRD-PARTY LINKS AND SERVICES

The Platform may contain links to third-party websites or services. We are not responsible for the content, privacy practices, or terms of any third-party site. The inclusion of any link does not imply our endorsement of that site or service. You access third-party sites at your own risk.

16. GOVERNING LANGUAGE

These Terms are published in the English language, which shall be the governing and controlling language for all purposes. To the extent these Terms are translated into Bahasa Malaysia or any other language for convenience, the English version shall prevail in the event of any ambiguity, conflict, or inconsistency between language versions.

17. MODIFICATIONS TO TERMS

We reserve the right to modify these Terms at any time. Material changes will be notified via email or a prominent notice on the Platform. Your continued use of the Platform after the effective date of the revised Terms constitutes your acceptance of the changes. The version number and "Last Updated" date at the top of this document identifies the currently operative version. If you do not agree to the revised Terms, you must discontinue use of the Platform.

18. TERMINATION

We may terminate or suspend your access to the Platform immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Platform will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including intellectual property provisions, disclaimers, indemnity, and limitations of liability.

19. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Anything Digital Hub and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal and accounting fees, arising out of or in any way connected with: (a) your violation of these Terms; (b) your User Content; (c) your use of the Platform; or (d) your violation of any applicable law or the rights of any third party.

20. GOVERNING LAW AND DISPUTE RESOLUTION

These Terms shall be governed by and construed in accordance with the laws of Malaysia. Any dispute arising out of or in connection with these Terms, including any question regarding their existence, validity, or termination, shall be subject to the exclusive jurisdiction of the courts of Malaysia.

We encourage users to first contact us at contact@studyplace.my to attempt an amicable resolution before initiating any legal proceedings.

21. SEVERABILITY

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of the remaining provisions.

22. ENTIRE AGREEMENT

These Terms, together with the Privacy Policy, Refund Policy, Acceptable Use Policy, Cookie Policy, and any other policies published on the Platform, constitute the entire agreement between you and the Company with respect to the Platform and supersede all prior agreements and understandings.
